These Terms & Conditions govern your access to and use of the LuxBioLabs website, membership network, catalog, and ordering system (together, the "Services"). By requesting access, creating an account, or placing an order, you agree to be bound by these terms and by our Privacy Policy and Research Use Only Disclaimer, each incorporated here by reference.

If you do not agree to these terms, you may not use the Services.

Access to LuxBioLabs is granted by approval only. Submitting an application does not create a membership, and we may approve, decline, suspend, or revoke any application or account at our sole discretion and without notice.

By applying you represent and warrant that:

Every product offered through the Services is sold strictly for in vitro laboratory research. Products are NOT drugs, foods, cosmetics, dietary supplements, or medical devices, and are not for human or veterinary use, diagnostic use, or any therapeutic application.

Our full Research Use Only Disclaimer forms part of these terms. Purchasing from us constitutes your agreement to those restrictions, and any use outside them is a material breach.

Catalog contents, member pricing, and availability are visible only to approved members and may change at any time without notice. We make reasonable efforts to describe products accurately but do not warrant that descriptions, images, specifications, or pricing are error-free.

We reserve the right to correct errors, limit order quantities, and refuse or cancel any order — including after an order has been confirmed — and to issue a refund in place of fulfilment.

Submitting an order is an offer to purchase. No contract is formed until we accept the order and it ships. Payment is due in full at checkout in the currency displayed unless we have agreed to alternative terms in writing.

You authorize us and our payment processors to charge your selected payment method for the order total, including any applicable taxes and shipping. You are responsible for any duties, tariffs, or import charges assessed at the destination.

Delivery estimates are estimates, not guarantees. Risk of loss passes to you on delivery to the carrier. You are responsible for providing a correct, deliverable address and for ensuring receipt by a person qualified to accept research materials.

We may decline to ship to any jurisdiction where the sale, import, or possession of a given compound is restricted. You are solely responsible for confirming that your intended use and receipt comply with all laws applicable to you.

Because these are research materials whose integrity depends on unbroken cold-chain and seal, we cannot accept returns of opened, used, or improperly stored product.

If an order arrives damaged, incorrect, or materially inconsistent with its Certificate of Analysis, contact us within 7 days of delivery with your order number and photographs. Where a claim is substantiated we will, at our option, replace the item or refund it. This is your sole and exclusive remedy.

Participation in the affiliate program is optional, subject to approval, and governed by the affiliate program agreement you accept when applying. Commissions are earned only on qualifying, paid, non-refunded orders and are subject to a minimum payout threshold.

We may modify commission rates, adjust or reverse commissions attributable to fraudulent, self-referred, or refunded orders, and terminate any affiliate account for conduct that misrepresents the brand or violates these terms.

You agree that you will not:

The Services and all content in them — including the LuxBioLabs name, logos, catalog copy, photography, and documentation — are owned by us or our licensors and protected by intellectual property law. Your membership grants you a limited, revocable, non-exclusive, non-transferable licence to access the Services for their intended purpose. No other rights are granted.

THE SERVICES AND ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

We do not warrant that any product will produce any particular experimental result. A Certificate of Analysis reflects the tested attributes of a batch at the time of testing and is not a warranty of suitability for your protocol.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUXBIOLABS AND ITS OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, RESEARCH, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICES OR ANY PRODUCT.

Our total aggregate liability for any claim will not exceed the amount you paid for the specific product giving rise to the claim. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

You agree to indemnify, defend, and hold harmless LuxBioLabs and its officers, employees, and suppliers from any claim, liability, damage, loss, or expense (including reasonable legal fees) arising from your use of the Services, your handling or use of any product, your breach of these terms, or your violation of any law or third-party right.

We may suspend or terminate your membership at any time, with or without cause or notice, including where we believe you have violated these terms or created risk or legal exposure for us. On termination your right to access the Services ends immediately.

Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — survive.

These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the courts located there for any dispute not subject to arbitration.

We may update these terms from time to time. Material changes will be reflected in the effective date above and, where appropriate, communicated to members. Your continued use of the Services after an update constitutes acceptance of the revised terms.
